Founding Membership Terms
The short version
- You pay once and get the features of your membership level for as long as TokenView runs the service.
- A founding membership is a product. It is not an investment, a share or a loan, and it gives no right to profits.
- You can cancel within 14 days for a full refund.
- Founding fee rates and features for your level will never be made worse while the service runs.
- If we ever close the service, we give at least 90 days' notice and help you take your works with you.
1. Who we are
These terms are an agreement between you and Webtjenester Nymann, a Norwegian sole proprietorship (enkeltpersonforetak), organisation number 934 776 836 MVA, 3111 Tønsberg, Norway, which operates TokenView Gallery ("TokenView", "we", "us"). You can reach us at paal@tokenviewgallery.com.
These terms cover the founding memberships sold on our Founding Collector and Founding Artist pages. They apply in addition to TokenView's general terms of service. If the two conflict, these terms apply to your founding membership.
2. Membership levels
| Level | Price | Places | Includes |
|---|---|---|---|
| Founding Collector | €990 | 850 | Lifetime collector account. Display on up to 3 screens. Numbered Founding Certificate. 48-hour early access to Genesis releases. €100 Genesis credit. |
| Founding Patron | €4,900 | 130 | Everything in Founding Collector. Lifetime Professional features on 5 transferable screens. Name on the Founders Wall. Private preview of Genesis releases. €500 Genesis credit. |
| Founding Venue | €19,900 | 20 | Lifetime Enterprise features for one physical location, with unlimited screens. White-label gallery. Curated Genesis starter programme. Personal onboarding. |
| Founding Artist | €390 | 500 | Lifetime certified artist profile. 5% marketplace fee on your sales. Help listing existing works. Considered for the Genesis Collection. |
| Founding Artist Pro | €1,490 | 200 | Everything in Founding Artist, with a 3% marketplace fee. Lifetime Professional features on 5 screens and a branded gallery. One work guaranteed in the Genesis Collection. |
Prices are one-time payments in euro and include Norwegian VAT (MVA) where it applies. Each level is limited to the number of places shown. When a level is sold out, it closes and is not reopened at the same price or with the same benefits.
3. What "lifetime" means
"Lifetime" means for as long as TokenView operates the service, or a successor operates it after a sale or merger. It does not mean the lifetime of the member. While the service runs, you never pay a subscription for the features included in your level.
We may improve, change or replace individual features over time. If we do, we will keep equivalent functionality for your level. We will never raise the marketplace fee on a Founding Artist or Founding Artist Pro membership, and we will never reduce the number of screens included in your level.
4. Not an investment
A founding membership is a purchase of access to a digital service. It is not a share, a security, a loan, a deposit or any other financial instrument. It gives no ownership in TokenView, no voting rights and no right to dividends, profits, interest or repayment, and it is not marketed as having any expected financial return.
5. Founding Certificate and founding number
Founding Collectors, Patrons and Venues receive a numbered Founding Certificate, issued in the order payments are completed. Founding Artists receive a founding number on the same basis. Numbers are never reissued. The certificate records your place among the founders. It is not a token of value and does not by itself give any rights beyond those in these terms.
6. Genesis credit
Genesis credit can be used towards works in TokenView's Genesis Collection and later Genesis releases. It has no cash value and cannot be exchanged for money or transferred to another account. It does not expire while the service runs. If a work costs more than your credit, you pay the difference.
7. Founding Artist fees and the Genesis Collection
- The founding marketplace fee is 5% for Founding Artist and 3% for Founding Artist Pro. It applies to sales of your own works through TokenView. Card processing costs from the payment provider may be charged in addition, and they are shown before you list a work.
- TokenView curates the Genesis Collection. Founding Artist Pro members are guaranteed one work in it, provided the work follows our content guidelines and is delivered by the published deadline.
- For works sold as part of a Genesis release, a separate Genesis curation fee may apply. If it does, it is stated in the Genesis submission terms before you submit, and it only applies if you choose to take part.
- You keep full copyright in your works. By listing a work, you give TokenView a non-exclusive right to display, promote and sell it on the platform for as long as it is listed. You confirm that you own the work or have the rights to sell it.
8. Screens and accounts
Screen allowances apply per membership. You can move a screen to a new device, but the number of screens active at once cannot exceed your level. A Founding Venue covers one physical location. Your membership is personal (for Venues, it belongs to the venue's business) and cannot be resold or transferred without our written consent. We will not refuse that consent unreasonably, for example when a venue changes owner.
9. Payment
Payment is made by card through Stripe. TokenView never sees or stores your full card details. You receive a receipt by email. We send your founding number and access instructions to the email address used at checkout, normally within 24 hours.
10. Right to cancel and refunds
You can cancel your founding membership within 14 days of purchase for a full refund, whether or not you have started using it. To cancel, email paal@tokenviewgallery.com with the email address you paid with. We refund to the original payment method within 14 days of receiving your request. Genesis credit and any works bought with it are deducted from the refund if you have used them.
After 14 days, founding memberships are non-refundable, except as set out in section 12 or where the law requires otherwise. Nothing in these terms limits your rights under mandatory consumer law.
11. Acceptable use
You must not use TokenView to display or sell works that you do not have the rights to, or works that are illegal, hateful or sexually explicit involving minors. You must also not try to bypass the platform's encryption or copy protection. If you seriously or repeatedly break these rules, we may suspend or end your membership after giving you notice and a chance to respond. If we end a membership because of a serious breach, no refund is due.
12. If we close the service
If TokenView decides to permanently close the service and no successor takes it over, we will:
- give all founding members at least 90 days' notice by email;
- let you export your listed works, certificates of authenticity and purchase records; and
- for founding memberships bought less than 24 months before the closure is announced, refund a share of the price in proportion to the unused part of a 24-month period.
If TokenView is sold or merged, founding memberships are transferred to the new owner on the same terms.
13. Liability
We provide the service with reasonable care and skill. We are not responsible for the screens, devices or internet connections you use, or for third-party blockchains, wallets and marketplaces. Except where the law does not allow it, our total liability to you under these terms is limited to the price you paid for your founding membership.
14. Changes to these terms
We may update these terms, for example to reflect new features or legal requirements. We will email you at least 30 days before any change that affects you. Changes will never reduce the core benefits of your level as listed in section 2.
15. Privacy
We use your name, email address and billing address to deliver your membership, send receipts and meet accounting and tax obligations. We handle personal data in line with the GDPR and our privacy policy: privacy policy.
16. Law and disputes
These terms are governed by Norwegian law. If you have a complaint, contact us first and we will try to solve it. Consumers in Norway can also contact Forbrukertilsynet and Forbrukerklageutvalget. Consumers in the EU can use the European Commission's online dispute resolution platform. Disputes that are not resolved can be brought before the courts of the place where TokenView has its registered office. Consumers may also use the courts where they live, if mandatory consumer law gives them that right.
